Effective Date: August 9, 2026
These Legal Terms (“Legal Terms” or “Agreement”) govern your access to and use of websites operated by Blanc Tech, Inc., dba Blanc (“Blanc,” “we,” “us,” or “our”), including https://blanchq.com and any successor or affiliated domains through which we make our services available, as well as our platform and any related products and services (collectively, the “Services”).
These Legal Terms constitute a legally binding agreement between you, whether personally or on behalf of an entity (“you” or “Customer”), and Blanc concerning your access to and use of the Services. By accessing or using the Services, you acknowledge that you have read, understood, and agreed to be bound by these Legal Terms. IF YOU DO NOT AGREE WITH THESE LEGAL TERMS, YOU MUST NOT ACCESS OR USE THE SERVICES. Your use of the Services is also subject to our Privacy Policy.
If you or the entity you represent has entered into a Master Service Agreement (“MSA”), Order Form, Data Processing Addendum (“DPA”), Service Level Agreement (“SLA”), or other written agreement with Blanc concerning the Services, that agreement will govern to the extent of any conflict or inconsistency with these Legal Terms.
Supplemental terms or policies that apply to particular features of the Services may be incorporated into these Legal Terms by reference. We may update these Legal Terms from time to time by posting a revised version and updating the applicable effective or “Last updated” date. For enterprise customers, we will provide at least thirty (30) days’ written notice before material changes to these Legal Terms become effective, unless a shorter period is reasonably required by law, regulation, security considerations, or circumstances outside our reasonable control. Changes to these Legal Terms will not modify an existing MSA, Order Form, DPA, or SLA except as expressly permitted by that agreement.
The Services are intended for users who are at least 18 years old. Persons under the age of 18 are not permitted to register for or use the Services.
We recommend that you retain a copy of these Legal Terms for your records.
1. OUR SERVICES
The Services may include features designed to assist organizations with monitoring, identifying, analyzing, documenting, and managing potential regulatory, compliance, quality-assurance, customer-complaint, and operational issues, including within regulated industries such as financial services.
The Services are intended to support, and not replace, your legal, compliance, risk-management, or professional judgment. Blanc does not provide legal advice and does not determine whether your organization is compliant with any particular law or regulation. You remain responsible for determining the laws, regulations, contractual requirements, and internal policies applicable to your organization and for configuring and using the Services appropriately.
Nothing in these Legal Terms prohibits financial institutions, fintech companies, or other regulated organizations from using the Services for lawful business purposes. You may not use the Services in any manner that violates applicable law or regulation.
The Services may not be available or appropriate in every jurisdiction. If you access or use the Services from a jurisdiction outside the United States, you are responsible for determining whether your use of the Services is permitted under applicable local law, subject to any obligations expressly undertaken by Blanc in an applicable MSA, DPA, Order Form, or other written agreement.
2. INTELLECTUAL PROPERTY RIGHTS
Our Intellectual Property
We are the owner or licensee of intellectual property rights in the Services, including the software, source code, databases, functionality, website designs, text, graphics, audio, video, photographs, documentation, and other materials made available by Blanc as part of the Services (collectively, the “Content”), as well as the trademarks, service marks, trade names, and logos contained therein (the “Marks”).
Our Content and Marks are protected by applicable intellectual property and unfair competition laws and treaties in the United States and other jurisdictions.
Except for the limited rights expressly granted to you under these Legal Terms or an applicable written agreement, nothing in this Agreement transfers or assigns any intellectual property rights in the Services, Content, or Marks to you.
Your Use of Our Services
Subject to your compliance with these Legal Terms and any applicable Order Form or MSA, Blanc grants you a limited, non-exclusive, non-transferable right during the applicable subscription or access period to:
- access and use the Services for your internal business purposes; and
- download, export, or print Content where the Services are designed to permit such activity.
Except as expressly permitted by these Legal Terms, the functionality of the Services, or an applicable written agreement, you may not copy, reproduce, republish, publicly display, modify, translate, distribute, sell, license, sublicense, or otherwise commercially exploit Blanc’s proprietary Content or Marks without our prior written permission.
If you wish to use Blanc’s Content or Marks in a manner not expressly permitted by this Agreement, please contact support@blancHQ.com.
We reserve all rights not expressly granted to you.
A material infringement or misappropriation of Blanc’s intellectual property rights may result in suspension or termination of access to the Services in accordance with Section 13 and any applicable MSA.
Copyright Infringement
We respect the intellectual property rights of others. If you believe that material available through the Services infringes intellectual property rights you own or control, please contact us as described in the “COPYRIGHT INFRINGEMENTS” section below.
3. USER REPRESENTATIONS
By using the Services, you represent and warrant that:
- all registration information you submit is true, accurate, current, and complete;
- you will maintain the accuracy of such information and update it as reasonably necessary;
- you have the legal capacity and authority to enter into these Legal Terms, including on behalf of an entity where applicable;
- you are at least 18 years old;
- you will not use the Services for an illegal or unauthorized purpose; and
- your use of the Services will comply with applicable law and regulation.
If information associated with your account is materially false, inaccurate, outdated, or incomplete, we may require you to correct the information and may suspend access where reasonably necessary to protect the Services, other users, or Blanc.
4. USER REGISTRATION
You may be required to register for an account to use the Services. You are responsible for maintaining the confidentiality of your account credentials and for activity conducted through your account by persons you authorize to use the Services.
You must promptly notify us if you know or reasonably suspect that your account or credentials have been compromised. We may require a username or account identifier to be changed where reasonably necessary for security, legal, or operational reasons.
5. PURCHASES AND PAYMENTS
Paid Services are subject to the fees (“Services Fees” or “Fees”) specified in the applicable Order Form, MSA, or other written agreement. Fees may vary based on the Services, usage, features, volume, subscription level, or other commercial terms selected by you. Blanc may offer different pricing or promotional terms to different customers.
Unless otherwise stated in an applicable Order Form or MSA, invoices are due within thirty (30) days of the invoice date. Refunds, fee disputes, credits, and early termination rights for enterprise customers will be governed by the applicable MSA and Order Form. If undisputed amounts remain unpaid after the applicable due date, Blanc may suspend affected paid Services after providing reasonable notice and an opportunity to cure, except where immediate suspension is expressly permitted under an applicable written agreement.
Unless otherwise stated in an applicable MSA or prohibited by law, delinquent undisputed amounts may accrue a late fee of one percent (1%) per month, or the maximum amount permitted by applicable law if lower, for up to six (6) months. You may also be responsible for reasonable costs incurred in collecting undisputed overdue amounts to the extent permitted by applicable law and your applicable agreement with Blanc.
Fees are exclusive of applicable taxes, levies, duties, or similar governmental assessments unless expressly stated otherwise. You are responsible for taxes associated with your purchase of the Services other than taxes based on Blanc’s net income. If Blanc is legally required to collect or pay taxes for which you are responsible, Blanc may invoice you for those amounts unless you provide a valid tax exemption certificate.
You agree to provide accurate billing and account information reasonably necessary for Blanc to invoice you, process authorized payments, and administer your account. Unless otherwise specified in an applicable agreement, payments will be made in U.S. dollars.
6. SUBSCRIPTIONS
Billing and Renewal
Your subscription term, billing cycle, renewal terms, usage commitments, and additional fees will be specified in the applicable Order Form or MSA. Unless otherwise stated there, subscriptions may automatically renew for successive terms in accordance with the applicable commercial terms.
Cancellation
Cancellation, non-renewal, and termination rights are governed by the applicable Order Form or MSA. Where no separate written agreement applies, you may request cancellation by contacting support@blancHQ.com, and cancellation will take effect at the end of the then-current paid subscription term unless otherwise required by applicable law.
7. PROHIBITED ACTIVITIES
You may access and use the Services only for lawful purposes and in accordance with these Legal Terms and any applicable written agreement.
As a user of the Services, you agree not to:
- systematically retrieve or extract data or Content from the Services for the purpose of creating a competing database, product, or service, except through export features, APIs, integrations, or other functionality expressly made available or authorized by Blanc;
- attempt to trick, defraud, or mislead Blanc or other users, including in an attempt to obtain credentials, authentication information, or other sensitive account information;
- circumvent, disable, defeat, or materially interfere with security, authentication, access-control, usage-limitation, or technical-protection features of the Services;
- use information obtained through the Services to harass, abuse, unlawfully discriminate against, threaten, or harm another person;
- make intentionally false or fraudulent reports through Blanc’s support or security channels;
- use the Services in violation of applicable law or regulation;
- engage in unauthorized framing of the Services or otherwise present the Services in a misleading manner;
- introduce or attempt to introduce malware, viruses, Trojan horses, ransomware, spyware, malicious code, or other technology intended to disrupt, damage, compromise, or gain unauthorized access to the Services or related systems;
- interfere with, disrupt, overload, or create an unreasonable burden on the Services or networks or systems connected to the Services;
- attempt to impersonate another person or entity or access another user’s account without authorization;
- attempt to bypass measures designed to prevent or restrict unauthorized access to any portion of the Services;
- copy, modify, or adapt Blanc’s software or source code except to the limited extent expressly permitted by applicable law notwithstanding this restriction;
- decipher, decompile, disassemble, reverse engineer, or otherwise attempt to derive source code from the Services except to the limited extent expressly permitted by applicable law notwithstanding this restriction;
- use unauthorized bots, crawlers, scrapers, scripts, or other automated systems to access the Services in a manner that is not permitted by Blanc’s documentation, technical interfaces, or written agreement;
- collect usernames, email addresses, credentials, or other information from users of the Services for unsolicited marketing, credential harvesting, or other unauthorized purposes; or
- use the Services or Blanc’s proprietary Content to develop, train, benchmark, or operate a product or service that directly competes with the Services, except where Blanc has expressly authorized such activity in writing.
Authorized Automation. Nothing in this Section prohibits the use of APIs, integrations, service accounts, scheduled jobs, automated data ingestion, machine-to-machine communications, AI agents, workflows, or other automated functionality that is provided by Blanc, described in Blanc’s documentation, enabled within the Services, or otherwise expressly authorized by Blanc in an Order Form, MSA, or other written agreement.
8. CUSTOMER DATA
For purposes of these Legal Terms, “Customer Data” means data, content, communications, records, files, or other information submitted, uploaded, transmitted, connected, or otherwise made available to the Services by or on behalf of you or your authorized users.
As between you and Blanc, you retain all right, title, and interest in and to Customer Data, including any intellectual property rights in Customer Data.
You grant Blanc a limited, non-exclusive right to host, access, copy, transmit, process, display, and otherwise use Customer Data only as reasonably necessary to provide, maintain, secure, support, and administer the Services; to comply with your documented instructions; to comply with applicable law; and as otherwise expressly authorized by an applicable MSA, DPA, Order Form, or other written agreement.
You represent that you have all rights, permissions, consents, and other lawful bases reasonably necessary to provide Customer Data to Blanc and to authorize Blanc to process Customer Data as contemplated by your applicable agreement with Blanc.
Blanc does not acquire ownership of Customer Data merely because Customer Data is processed through the Services.
9. FEEDBACK
If you voluntarily provide Blanc with suggestions, ideas, enhancement requests, recommendations, or other feedback concerning the Services (“Feedback”), you grant Blanc a worldwide, perpetual, irrevocable, royalty-free right to use and incorporate that Feedback into Blanc’s products and services without obligation or compensation to you.
Feedback does not include Customer Data, confidential information identified as such under an applicable agreement, or personal information submitted to Blanc solely for purposes of receiving the Services.
10. THIRD-PARTY WEBSITES, SERVICES, AND CONTENT
The Services may interoperate with, integrate with, link to, or contain content from third-party websites, software, applications, platforms, telecommunications providers, data sources, artificial intelligence providers, or other third-party products and services (“Third-Party Services”).
Your use of Third-Party Services may be subject to separate terms and privacy practices established by the applicable third party. Unless otherwise expressly stated in an applicable written agreement, Blanc does not control and is not responsible for Third-Party Services, and the inclusion or availability of an integration or link does not by itself constitute an endorsement, sponsorship, or partnership.
11. SERVICES MANAGEMENT
We reserve the right, subject to any applicable MSA or other written agreement, to take reasonable measures to operate, secure, protect, maintain, and administer the Services, including to:
- investigate suspected violations of these Legal Terms;
- take appropriate action in response to unlawful, fraudulent, abusive, or unauthorized activity;
- temporarily restrict access where reasonably necessary to protect the security, integrity, or availability of the Services or Customer Data;
- remove or disable content that violates applicable law, infringes third-party rights, contains malicious code, or materially threatens the operation or security of the Services; and
- perform maintenance, upgrades, patches, security updates, and other activities reasonably necessary to operate the Services.
12. COPYRIGHT INFRINGEMENTS
We respect the intellectual property rights of others. If you believe that material available on or through the Services infringes a copyright, trademark, or other intellectual property right you own or control, please notify us using the contact information provided below and include sufficient information for us to evaluate the claim.
13. TERM, SUSPENSION, AND TERMINATION
These Legal Terms remain in effect while you access or use the Services. For enterprise customers, suspension, termination, expiration, renewal, and post-termination rights will be governed primarily by the applicable MSA and Order Form.
Subject to any applicable MSA or other written agreement, Blanc may suspend or restrict access to some or all of the Services where reasonably necessary because of:
- a material breach of these Legal Terms;
- fraudulent, unlawful, or unauthorized use of the Services;
- a material security risk to the Services, Blanc, Customer Data, other customers, or third parties;
- undisputed overdue payment obligations where suspension is permitted under the applicable agreement; or
- a legal or regulatory requirement.
Where reasonably practicable, Blanc will provide notice of a suspension and an opportunity to cure the underlying issue before suspension. Blanc may suspend access immediately where reasonably necessary to address an urgent security threat, prevent unlawful activity, protect Customer Data or the Services, or comply with law.
Where no separate MSA governs termination, Blanc may terminate your access for a material breach that remains uncured after reasonable notice, where the breach is incapable of cure, or where continued provision of the Services would violate applicable law.
You may not create or use another account for the purpose of circumventing a valid suspension or termination.
Customer Data export, retention, return, and deletion following expiration or termination will be governed by the applicable MSA, DPA, Order Form, and Blanc’s applicable data-retention practices.
14. SERVICE LEVELS, WARRANTIES, MODIFICATIONS, AND INTERRUPTIONS
Service Levels. For enterprise customers, any uptime commitment, service level, measurement methodology, maintenance window, exclusion, service credit, or remedy will be governed by the applicable MSA, SLA, or Order Form. If no SLA or other written uptime commitment applies, Blanc will use commercially reasonable efforts to maintain the availability of the Services but does not provide a separate guaranteed uptime percentage under these Legal Terms.
Performance Warranty. During an applicable paid subscription term, Blanc warrants that the Services will perform materially in accordance with the applicable documentation when used in accordance with these Legal Terms and the applicable written agreement. Blanc will not knowingly introduce malicious code into the Services.
Security Controls. Blanc maintains an information security program designed to protect the confidentiality, integrity, and availability of Customer Data. Blanc has completed a SOC 2 Type 2 examination. Information concerning the scope of Blanc’s security controls and applicable assurance reports may be made available to qualified customers subject to reasonable confidentiality requirements.
Blanc may modify, update, maintain, replace, or discontinue features of the Services from time to time. For enterprise customers, Blanc will provide notice of material reductions in core functionality where required by the applicable MSA or other written agreement.
The Services may occasionally be unavailable due to scheduled maintenance, emergency maintenance, telecommunications or infrastructure failures, third-party service failures, security incidents, force majeure events, or circumstances outside Blanc’s reasonable control. Blanc’s obligations and any available remedies relating to downtime will be governed by the applicable MSA, SLA, or Order Form.
Blanc will not be responsible for delays or failures in performance to the extent caused by events beyond Blanc’s reasonable control, including natural disasters, acts of government, war, terrorism, civil unrest, labor disputes, widespread telecommunications or cloud infrastructure failures, or similar events that could not reasonably have been prevented.
15. GOVERNING LAW
Unless otherwise provided in an applicable MSA, these Legal Terms and your use of the Services are governed by and construed in accordance with the laws of the State of New York, without regard to its conflict-of-law principles.
16. DISPUTE RESOLUTION
If an applicable MSA contains dispute-resolution provisions, those provisions will control over this Section.
Informal Negotiations
To expedite resolution and control the cost of any dispute, controversy, or claim arising from or relating to these Legal Terms (each a “Dispute”), the parties agree to first attempt in good faith to resolve the Dispute informally for at least thirty (30) days before initiating arbitration, except where immediate injunctive or equitable relief is reasonably necessary.
Binding Arbitration
If the parties are unable to resolve a Dispute through informal negotiations, the Dispute will be finally resolved by binding arbitration, except where applicable law provides otherwise. YOU UNDERSTAND THAT, ABSENT THIS PROVISION, YOU MAY HAVE THE RIGHT TO SUE IN COURT AND HAVE A JURY TRIAL. Arbitration will be commenced and conducted under the Commercial Arbitration Rules of the American Arbitration Association (“AAA”). Except where otherwise required by applicable AAA rules, applicable law, or an applicable written agreement, the arbitration will take place in Kings County, New York.
Restrictions
To the fullest extent permitted by applicable law, arbitration will be conducted only on an individual basis. No arbitration may be consolidated with another proceeding without the parties’ consent, and no Dispute may be arbitrated or brought as a class, collective, or representative action except where such restriction is prohibited by applicable law.
17. CORRECTIONS
Information presented through the Services may occasionally contain typographical errors, inaccuracies, or omissions. We may correct such errors or update information where reasonably necessary, subject to any contractual notice obligations applicable to enterprise customers.
18. DISCLAIMER
EXCEPT FOR EXPRESS WARRANTIES SET FORTH IN SECTION 14 OR IN AN APPLICABLE MSA, SLA, ORDER FORM, OR OTHER WRITTEN AGREEMENT, THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS TO THE FULLEST EXTENT PERMITTED BY LAW. BLANC DISCLAIMS ALL OTHER WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
BLANC DOES NOT WARRANT THAT USE OF THE SERVICES WILL, BY ITSELF, ENSURE COMPLIANCE WITH ANY LAW, REGULATION, CONTRACTUAL OBLIGATION, OR INTERNAL POLICY, OR THAT THE SERVICES WILL IDENTIFY EVERY POTENTIAL COMPLAINT, REGULATORY ISSUE, RISK, OR VIOLATION. YOU REMAIN RESPONSIBLE FOR APPROPRIATE HUMAN REVIEW, ESCALATION, INVESTIGATION, DECISION-MAKING, AND COMPLIANCE OVERSIGHT.
BLANC DOES NOT WARRANT, ENDORSE, OR ASSUME RESPONSIBILITY FOR THIRD-PARTY SERVICES EXCEPT TO THE EXTENT EXPRESSLY PROVIDED IN AN APPLICABLE WRITTEN AGREEMENT.
19. LIMITATIONS OF LIABILITY
For enterprise customers subject to a Master Service Agreement, liability caps, exclusions, exceptions, and remedies will be governed by the applicable MSA.
For users not subject to an MSA, to the fullest extent permitted by applicable law, neither Blanc nor its directors, officers, employees, or agents will be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenues, goodwill, or business opportunities, arising out of or relating to the Services, even if advised of the possibility of such damages.
For users not subject to an MSA, Blanc’s aggregate liability arising out of or relating to the Services or these Legal Terms will not exceed the total amount paid by you to Blanc for the Services during the six (6) months immediately preceding the event giving rise to the claim.
Nothing in these Legal Terms excludes or limits liability to the extent such liability cannot lawfully be excluded or limited.
20. INDEMNIFICATION
For enterprise customers, indemnification obligations will be governed by the applicable MSA.
For users not subject to an MSA, you agree to defend, indemnify, and hold harmless Blanc and its affiliates, officers, directors, employees, and agents from third-party claims, damages, liabilities, and reasonable costs and expenses arising out of or relating to:
- Customer Data that infringes or misappropriates a third party’s rights;
- your unlawful or unauthorized use of the Services;
- your material breach of these Legal Terms;
- your material breach of the representations and warranties made in these Legal Terms; or
- your violation of applicable law or the rights of a third party.
21. CUSTOMER DATA, BACKUPS, AND RETENTION
Blanc will maintain Customer Data as reasonably necessary to provide the Services and in accordance with the applicable MSA, DPA, Order Form, and Blanc’s applicable data-retention practices.
Blanc maintains administrative, technical, and organizational measures designed to protect Customer Data and may perform backups and recovery procedures as part of operating the Services.
You are responsible for the accuracy, quality, legality, and lawful collection of Customer Data you provide to the Services, including obtaining any permissions or authorizations required for Blanc to process that Customer Data on your behalf.
You are also responsible for maintaining independent copies or exports of Customer Data where required by your internal policies, regulatory obligations, business-continuity requirements, or applicable written agreement.
For enterprise customers, specific obligations relating to backup frequency, disaster recovery, retention, deletion, return, export, and restoration of Customer Data will be governed by the applicable MSA, DPA, SLA, or Order Form.
22. ELECTRONIC COMMUNICATIONS, TRANSACTIONS, AND SIGNATURES
Visiting the Services, sending us emails, and completing online forms constitute electronic communications. You consent to receive electronic communications relating to your use of the Services, subject to applicable law and any notification preferences available through the Services.
You agree that agreements, notices, disclosures, and other communications we provide electronically may satisfy any legal requirement that such communication be in writing to the extent permitted by applicable law. YOU AGREE TO THE USE OF ELECTRONIC SIGNATURES, CONTRACTS, ORDERS, AND RECORDS AND TO THE ELECTRONIC DELIVERY OF NOTICES, POLICIES, AND TRANSACTION RECORDS TO THE EXTENT PERMITTED BY APPLICABLE LAW.
23. CALIFORNIA USERS AND RESIDENTS
If a complaint with Blanc is not satisfactorily resolved and applicable law entitles you to do so, you may contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs in writing at 1625 North Market Blvd., Suite N 112, Sacramento, California 95834, or by telephone at (800) 952-5210 or (916) 445-1254.
24. MISCELLANEOUS
These Legal Terms, together with any applicable Order Form, MSA, DPA, SLA, and policies incorporated by reference, constitute the agreement governing your use of the Services. If there is a conflict between these Legal Terms and an applicable MSA, Order Form, DPA, or SLA, the applicable negotiated agreement will control with respect to the subject matter of the conflict.
Our failure to exercise or enforce a right or provision of these Legal Terms will not operate as a waiver of that right or provision. If any provision of these Legal Terms is determined to be unenforceable, the remaining provisions will remain in full force and effect to the fullest extent permitted by law.
Neither party will be liable for a failure or delay caused by circumstances beyond its reasonable control, except that this provision does not excuse payment obligations for Services already provided.
Any assignment of an enterprise customer’s or Blanc’s rights or obligations will be governed by the applicable MSA. Where no MSA applies, neither party may assign these Legal Terms without the other party’s consent, except that Blanc may assign these Legal Terms in connection with a merger, acquisition, corporate reorganization, sale of substantially all relevant assets, or similar transaction.
